Old Maidonians' Association Rules

  1. The Association shall be called “The Old Maidonians' Association”.
  2. All Teachers and former pupils of the School (being the School now known as Desborough School but previously known as Maidenhead Modern School, Maidenhead County Boys’ School and Maidenhead Grammar School) or such other persons as the General Committee shall choose for specific reasons shall be eligible for Membership of the Association.
  3. The objects of the Association shall be to maintain and promote a means of communication between present and past members of the School and to provide social and sporting events and activities for members of the Association and generally further the interests of the School and its past and present Members.
  4. There shall be a President who shall be invited to serve in such capacity by the Members of the General Committee (“The Committee”), Vice-Presidents, a Chairman, an Honorary Secretary and an Honorary Treasurer who shall (in each case) be elected at the Annual General Meeting of the Association provided that any vacancy arising during the year shall be filled pursuant to an appointment made by the Committee. The Association may at any Annual General Meeting nominate such persons as it shall determine to act as Vice-Presidents and any person so nominated shall be appointed a Vice-President if not less than seventy five percentum of the members attending and eligible to vote at such Annual General Meeting vote in favour of such nomination and any Vice-President so appointed shall be appointed for life.
  5. The general management of the Association together with its finances, and the election of Members shall be in the hands of the Committee. The Committee shall have the power to elect as Honorary Life Members such persons as the Committee shall wish to recognise for their service to the School or to the Association.
  6. The General Committee shall consist of the President (if such shall have been appointed), the Chairman, the Honorary Secretary, the Honorary Treasurer together with such other members as shall be elected at the Annual General Meeting. The General Committee shall have power to co-opt such further number of Members of the Association as the members of the General Committee shall in their absolute discretion determine and the General Committee shall have power to constitute and to appoint Members of the Association (whether or not such Members are members of the General Committee) to such sub-Committees as the General Committee shall determine.
  7. A General Meeting of the Members of the Association shall be held in each calendar year within a period of fifteen months from the date of the previous Annual General Meeting of the Association on a date to be fixed by the General Committee of which at least fourteen days notice shall have been given. The purpose of the Annual General Meeting shall be to receive an Audited Statement and a Balance Sheet for the twelve months ending the 31st August in each year, to elect Officers and the General Committee for the ensuing year and to transact such other business as may be submitted by the Committee or by any Member who shall have given notice in writing to the Honorary Secretary of the motion he proposes to make at least seven days before the date of such meeting. Notice of any Resolution to be proposed to any Annual General Meeting of the Association (other than the consideration of the Audited Statement and the Balance Sheet and the election of Officers and Committee) shall (where practicable) be sent to all Members of the Association with the Notice convening the Annual General Meeting.
  8. Five Members of the Committee shall constitute a quorum for the purposes of the Meetings of the General Committee and five Members of the Association shall constitute a quorum for the purposes of General Meetings of the Association.
  9. In the absence of the Chairman from any Meeting of the Association or any Committee or sub-Committee a chairman shall be appointed who shall be such person as shall be elected by simple majority of those present at such Meeting and entitled to vote.
  10. At a General Meeting and at other Meetings of the Association or any Committee or sub-Committee of the Association every question, except alteration of the Rules and the appointment of Vice-Presidents shall be decided by a majority of votes of those present, and entitled to vote and in the case of equality of voting the chairman of the Meeting shall have a casting vote. When more than one member of the Association offers himself for election of President, Chairman, Honorary Secretary or Honorary Treasurer the election of such person or persons shall be determined by ballot of members attending the Meeting at which such election is to be determined and being entitled to vote.
  11. At any General Meeting of the Association and Member may appoint any member to be his proxy and to vote on his behalf provided always that chairman of such meeting shall be entitled in his absolute discretion to refuse to accept any such proxy if he shall not be satisfied (on reasonable grounds) with the validity of the appointment of the proxy.
  12. At the direction of the General Committee at the written request of five Members of the Association a General Meeting shall be called by the Honorary Secretary after the same period of notice to Members as for the Annual General Meeting provided always that notice in writing of the motion to be proposed at such Meeting shall have been delivered to the Secretary not less than twenty eight days prior to the date of such Meeting and sent to all Members of the Association not less than fourteen days prior to the date of such Meeting.
  13. The Membership subscription and the categories of membership shall be as determined by the General Committee from time to time.
  14. The General Committee shall have to expel a Member from the Association at any time and for whatever reason provided always that such expelled Member shall have be given notice of the date, time and place of the next Annual General Meeting of the Association and that such expelled Member shall have the right to make such representations to the Association in general meeting as he shall deem appropriate and the Association in General Meeting shall be empowered (in such circumstances) to reinstate such expelled member in such conditions (if any) as shall be determined by the Association in General Meeting.
  15. Alterations in these rules may be made if approved by two-thirds majority of those present at a General Meeting of the Association and entitled to vote thereat. Notice of any proposed alteration must be sent in writing to the Honorary Secretary who by a date fixed by the Committee shall call a General Meeting of the Association, such Meeting to be convened and to take place no more than eight weeks after receipt by the Honorary Secretary of the said notice of the proposed alteration. At least fourteen days notice shall be given to Members of the Association of such General Meeting and the Agenda for such General meeting and the proposed alteration to these rules shall appear on the notice.
